- Scope — We provide web design/dev, SEO/marketing, and automations per your signed proposal/SOW.
- Client responsibilities — Provide timely content, approvals, access, and a single point of contact; warrant rights to provided materials.
- Fees & payment — As per Payments & Billing. Third-party costs are yours unless agreed otherwise.
- Intellectual property — Upon full payment, you own final deliverables for intended use. We retain pre-existing IP/frameworks and non-transferable licenses. We may showcase work in our portfolio unless you object in writing.
- Changes/out-of-scope — Additional features/rounds billed at $165/hr or via change order.
- Confidentiality — Mutual protection of confidential information.
- Data protection — POPIA/GDPR-aware (see Privacy).
- Warranties — Reasonable care/skill; no warranty of third-party services or uninterrupted operation.
- Liability — To the extent permitted by law, capped at fees paid in the preceding 3 months. No indirect/consequential damages.
- Termination — See Cancellation Policy.
- Governing law — Laws of South Africa; venue [City/Province].
- Disputes — Good-faith negotiation → mediation → courts.
